These Terms of Service ("Terms") govern your use of our web design and digital marketing services, including but not limited to website design, development, hosting, digital marketing campaigns, and related services (collectively, the "Services"). Services
Kevin Scott Web Design and Digital Marketing provides a range of services to clients, including web design, development, digital marketing, branding, and related services. The scope of services provided will be outlined in a separate agreement between Kevin Scott Web Design and Digital Marketing and the client.

Client Responsibilities
Clients are responsible for providing accurate and complete information necessary for the provision of services, including but not limited to branding guidelines, content, images, and access to relevant systems or platforms. Clients are also responsible for reviewing and approving deliverables within specified timelines and providing feedback in a timely manner.

Fees and Payment
Fees for services will be outlined in the agreement between Kevin Scott Web Design and Digital Marketing and the client. Payment terms, including deposit requirements, installment payments, and invoicing schedules, will be specified in the agreement. Payment is due in accordance with the agreed-upon terms, and failure to pay may result in the suspension or termination of services.

Intellectual Property
Unless otherwise specified in writing, Kevin Scott Web Design and Digital Marketing retains ownership of all intellectual property rights in the deliverables produced as part of the services, including but not limited to website designs, code, graphics, and content. Upon full payment of all fees, clients are granted a non-exclusive, non-transferable license to use the deliverables for their intended purpose.

Confidentiality
Kevin Scott Web Design and Digital Marketing and the client agree to maintain the confidentiality of proprietary information shared during the provision of services, including but not limited to business strategies, financial information, and creative concepts. This obligation of confidentiality survives the termination of services.

Limitation of Liability
In no event shall Kevin Scott Web Design and Digital Marketing be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the provision of services, including but not limited to loss of profits, loss of data, or business interruption. Our liability is limited to the fees paid by the client for the specific services giving rise to the claim.

Termination
Either party may terminate the agreement for services upon written notice if the other party materially breaches the terms of the agreement and fails to remedy the breach within a reasonable time. Upon termination, any outstanding fees shall become immediately due and payable, and any licenses granted to the client shall terminate.

Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Michigan. Any dispute arising out of or in connection with these Terms shall be resolved through good faith negotiations between the parties. If the parties are unable to resolve the dispute amicably, it shall be referred to mediation or arbitration in accordance with the laws of the State of Michigan.

Amendments
Kevin Scott Web Design and Digital Marketing reserves the right to update or modify these Terms at any time without prior notice. Any changes will be effective immediately upon posting on our website. Continued use of our Services constitutes acceptance of the revised Terms.
